Acceptance of Terms
By engaging W4U (Web For You) for any services, accessing our website, or using any of our digital solutions, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you (the 'Client') and W4U PTY LTD, a company registered in Victoria, Australia.
- You must be at least 18 years old or have legal capacity to enter into contracts
- If acting on behalf of an organization, you warrant you have authority to bind that entity
- Your continued use of our services constitutes ongoing acceptance of these terms
- We recommend seeking legal advice if you have any concerns about these terms
Important: If you do not agree to these terms, you must not use our services or engage with our company.
Services Description
W4U provides professional IT services including but not limited to website design, web development, digital marketing, system development, and IT consulting. Our services are tailored to meet the specific needs of businesses operating in Australia and internationally.
Core Services
Website design and development, e-commerce solutions, content management systems, custom web applications, mobile-responsive design, and website maintenance.
Digital Marketing
Search engine optimization (SEO), pay-per-click advertising (PPC), social media marketing, content marketing, email marketing campaigns, and analytics reporting.
Technical Solutions
Custom software development, API integration, database design, cloud hosting setup, performance optimization, and security implementation.
Consulting Services
IT strategy planning, digital transformation consulting, technical audits, project management, and ongoing technical support.
Important: Specific service details, deliverables, and timelines will be outlined in individual service agreements or project proposals.
Use Restrictions
When using our services, websites, or any deliverables we provide, you agree to comply with all applicable laws and regulations. The following activities are strictly prohibited:
- Using our services for any illegal, fraudulent, or unauthorized purpose
- Attempting to gain unauthorized access to our systems or client data
- Distributing malware, viruses, or any harmful code through our platforms
- Infringing upon intellectual property rights of W4U or third parties
- Engaging in activities that could damage our reputation or business relationships
- Reselling or redistributing our services without written authorization
- Using our work products in ways that exceed the agreed license scope
- Attempting to reverse engineer our proprietary solutions or methodologies
Important: Violation of these restrictions may result in immediate termination of services and legal action.
Intellectual Property Rights
Intellectual property rights are fundamental to our services. This section clarifies ownership and usage rights for all materials, code, designs, and content created or used in our projects.
Client-Owned Materials
Content, images, trademarks, and materials you provide remain your property. You grant W4U a license to use these materials solely for providing the agreed services.
W4U Deliverables
Upon full payment, you receive ownership of custom designs, code, and content specifically created for your project, excluding our proprietary frameworks, libraries, and methodologies.
W4U Proprietary Assets
Our frameworks, code libraries, methodologies, templates, and know-how remain our exclusive property. You receive a non-exclusive license to use these as part of your delivered solution.
Third-Party Components
Open-source libraries, purchased themes, stock images, and third-party services are subject to their respective licenses. We will inform you of any such components used in your project.
Important: W4U retains the right to showcase completed projects in our portfolio unless specifically agreed otherwise in writing.
Payment Terms
Clear payment terms ensure smooth project execution and maintain professional relationships. All prices are quoted in Australian Dollars (AUD) unless otherwise specified.
Payment Structure
Projects typically require a 50% deposit to commence work, with the balance due upon completion. Larger projects may have milestone-based payment schedules as agreed in the project proposal.
Invoicing & Due Dates
Invoices are issued according to the agreed schedule with payment due within 14 days unless otherwise specified. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law.
Accepted Payment Methods
We accept bank transfers, credit cards (Visa, Mastercard, Amex), PayPal, and Stripe payments. International clients may be subject to currency conversion fees.
Refund Policy
Due to the custom nature of our services, refunds are evaluated on a case-by-case basis. Work completed to specification is generally non-refundable. Deposits are non-refundable once work has commenced.
Important: Failure to make timely payments may result in suspension of services and withholding of deliverables until payment is received.
Warranties & Disclaimers
W4U strives to deliver high-quality services but provides them on specific terms and conditions regarding warranties and performance guarantees.
Service Warranty
We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty on code defects from the date of delivery.
No Guarantee of Results
While we use best practices and proven methodologies, we cannot guarantee specific business outcomes, traffic levels, conversion rates, or revenue increases from our services.
Third-Party Services
We are not responsible for the performance, availability, or changes to third-party services, APIs, or platforms integrated into your solution.
Disclaimer of Implied Warranties
Except as expressly stated, our services are provided 'as is' without any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Important: Our maximum liability for any warranty claim is limited to correction of the defective work or refund of fees paid for the specific defective service.
Limitation of Liability
This section defines the extent and limitations of W4U's liability in connection with our services, protecting both parties' interests while ensuring fair risk allocation.
- W4U's total liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- This includes but is not limited to loss of profits, data, business opportunities, or reputation
- We are not responsible for delays or failures due to circumstances beyond our reasonable control
- Client acknowledges the fees reflect this allocation of risk and limitation of liability
- These limitations apply regardless of the legal theory under which liability is asserted
Important: Some jurisdictions do not allow limitation of certain damages. In such cases, our liability is limited to the maximum extent permitted by law.
Indemnification
Both parties agree to protect each other from certain legal claims and liabilities arising from the business relationship and use of services.
Client Indemnification
You agree to indemnify and hold W4U harmless from any claims arising from your use of our services, violation of these terms, infringement of third-party rights, or any content you provide.
W4U Indemnification
We will indemnify you against claims that our original work infringes third-party intellectual property rights, provided you notify us promptly and allow us to control the defense.
Indemnification Procedures
The indemnified party must provide prompt notice of any claim, reasonable cooperation in defense, and sole control of defense and settlement to the indemnifying party.
Important: Indemnification obligations survive the termination of these terms and the completion of services.
User Accounts (Future Feature)Coming Soon
This section will govern user accounts when our membership system is implemented. These terms will become effective upon launch of account features.
Account Registration
Future users will be required to provide accurate information, maintain account security, and notify us of any unauthorized access. Account sharing will be prohibited.
Account Responsibilities
Account holders will be responsible for all activities under their account, maintaining confidentiality of credentials, and complying with all applicable terms.
Account Termination
We reserve the right to suspend or terminate accounts for violations of terms, extended inactivity, or at user request. Data retention and deletion policies will apply.
Important: These account terms are not currently in effect but are included for future implementation. We will notify users when account features become available.
Content Publishing Policy (Future Feature)Coming Soon
When our blog and content publishing features launch, these policies will govern user-generated content, comments, and interactions on our platform.
Content Standards
Future content must be original or properly licensed, respectful, relevant, and compliant with all laws. Prohibited content will include hate speech, spam, and copyright violations.
Content Rights
Users will retain ownership of their content but grant W4U a license to display, distribute, and promote it. We may moderate or remove content that violates our policies.
Comment Guidelines
Blog comments must be constructive, on-topic, and respectful. We reserve the right to moderate, edit, or remove comments that violate community standards.
Important: This content policy will be activated when blog and user content features are launched. Additional detailed guidelines will be provided at that time.
Termination
Either party may terminate the service relationship under certain conditions. This section outlines the termination process and its consequences.
Termination by Client
You may terminate services at any time with written notice. Fees for work completed and expenses incurred up to termination date remain payable. Deposits are non-refundable.
Termination by W4U
We may terminate services for non-payment, breach of terms, illegal activities, or if continuation would violate law or harm our reputation. We will provide reasonable notice where possible.
Effect of Termination
Upon termination, all licenses to use our proprietary assets cease, outstanding fees become immediately due, and we will deliver completed work paid for in full.
Surviving Provisions
Provisions regarding intellectual property, confidentiality, limitation of liability, indemnification, and payment obligations survive termination.
Important: Termination does not relieve either party of obligations incurred prior to termination.
Governing Law
These terms are governed by the laws of Victoria, Australia, ensuring clarity in legal interpretation and dispute resolution procedures.

- The UN Convention on Contracts for the International Sale of Goods does not apply
- If any provision is found invalid, the remaining provisions continue in full force

- Amendments must be in writing and signed by authorized representatives of both parties
- Failure to enforce any provision does not constitute a waiver of that provision
Important: For international clients, Australian law applies regardless of conflict of law principles in your jurisdiction.
